This agreement is made on April 17, 2025 between One Inc ("Company") and Quality Auto ("Vendor") whereas the Service Provider offers the services set out in this Agreement and the Client wishes to use such services in its business operations.
The parties agree as follows:
1.1. This Agreement begins on 4/17/25 and continues until Termination of Agreement.
2.1 Features:
3.1. The Client will pay the Service Provider for the Services at a rate of 2.5%, payable per transaction. One Inc reserves the right to increase fees at any time with notification to The Client.
3.2. Fee collection will be per payment
3.3 ACH Authorization- One Inc is authorized to credit the account listed on this form "Account" in connection with processing claimantant payment. One Inc is authorized to debit the Debit account as needed to collect fees related to participation in the A2A Solution.
3.4 Any change in fee will not go into effect until one day after agreed upon rate
4.1. Each party agrees to keep the Confidential Information of the other party secret and to use it only for purposes connected with this Agreement.
4.2. The obligation of confidentiality does not apply to any information that is already in the public domain, was known to the party before disclosure by the other party, or is developed independently by the party.
5.1. Either party may terminate this Agreement by giving the other party with 30 days written notice.
5.2. Upon termination, payout preference will be reverted to Check payments and all services included in this Agreement will no longer be available.
6.1. Neither party excludes or limits liability to the other party for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence.
7.1. If a dispute arises, the parties will first try to resolve it by negotiation, and if that fails, they will try mediation before going to court.
To complete your upgrade, you'll need to update your default payout method to one supported by XpressOne — either a ClaimsCard® or Bank Account.
